1. Introduction

Welcome to MarketCPR ("Platform", "Service", "we", "us", or "our"). By accessing or using MarketCPR at www.marketcpr.com and any associated applications, you ("User", "you", or "your") agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Platform.

3. User Acknowledgement & Risk Disclosure

By using MarketCPR you acknowledge and agree that:

• Trading and investing in securities, derivatives, and other financial instruments involves substantial risk of loss and is not suitable for every person.
• Past performance does not guarantee future results. Backtested or historical data shown on the Platform cannot predict actual future outcomes.
• You are solely responsible for all trading and investment decisions you make, whether or not influenced by the Platform's output.
• You will independently verify any analysis, signal, or data provided by the Platform before taking any financial action.
• You should consult a qualified, SEBI-registered financial advisor (or the equivalent regulatory authority in your jurisdiction) before making any investment decision.
• The Platform's analysis is generated from publicly available market data and may contain errors, delays, or inaccuracies.

4. Eligibility & Account

• You must be at least 18 years of age (or the age of majority in your jurisdiction) to use MarketCPR.
• You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.
• One account per individual. You may not share, transfer, or resell your account.
• We reserve the right to suspend or terminate your account if you breach these Terms.

5. Subscription & Payment Terms

• MarketCPR offers free (Basic) and paid subscription plans (Pro, Premium, Enterprise). Plan features and pricing are described on our Pricing page.
• Paid plans are billed on a recurring monthly or annual basis as selected at checkout.
• All prices are in Indian Rupees (INR) unless otherwise stated and are inclusive of applicable taxes.
• Payment is processed through third-party payment gateways. We do not store your payment card details.
• You may upgrade, downgrade, or cancel your subscription at any time from your account settings.

6. Refund Policy

• Free (Basic) plans have no charges and therefore no refunds.
• Paid subscriptions may qualify for a refund if requested within 7 days of the initial purchase, provided less than 20% of the plan features have been used.
• Renewal charges are non-refundable.
• Refund requests can be made by contacting support@marketcpr.com.

7. Intellectual Property

• All content on MarketCPR — including algorithms, UI/UX design, analysis logic, branding, and documentation — is owned by MarketCPR and protected under applicable copyright and intellectual property laws.
• You may not copy, redistribute, reverse-engineer, or create derivative works from the Platform's content or code without explicit written permission.
• Market data displayed on the Platform is sourced from third-party providers and remains the property of the respective data owners.

8. Acceptable Use

You agree NOT to:

• Use the Platform for any unlawful purpose or in violation of any applicable local, national, or international law.
• Scrape, crawl, or extract data from the Platform using automated tools without prior written consent.
• Resell, redistribute, or commercially exploit any analysis, data, or content from the Platform.
• Attempt to gain unauthorized access to other users' accounts or backend systems.
• Use the Platform to manipulate markets or engage in insider trading.

You agree to indemnify and hold harmless MarketCPR, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, breach of these Terms, or violation of any law or third-party rights.

11. Regulatory Compliance

India

• MarketCPR operates as a technology and analytics platform. It is NOT registered with SEBI as an Investment Adviser (IA), Research Analyst (RA), or Portfolio Manager (PM).
• The Platform does not fall under the purview of the SEBI (Investment Advisers) Regulations, 2013 or SEBI (Research Analysts) Regulations, 2014, as it does not provide personalised investment advice or research reports.
• Users in India are encouraged to verify any trade decision with a SEBI-registered advisor.

Global Users

• If you access MarketCPR from outside India, you are responsible for ensuring compliance with the laws of your jurisdiction.
• The Platform does not constitute regulated financial advice in any jurisdiction, including but not limited to advice governed by the SEC (USA), FCA (UK), ASIC (Australia), MAS (Singapore), or equivalent authorities.

12. Data Accuracy & Third-Party Data

• Market data is sourced from third-party providers and exchanges. We do not guarantee the accuracy, completeness, or timeliness of any data.
• Data may be delayed (typically 1–15 minutes). Real-time data availability depends on your subscription plan.
• Historical data and backtesting results are approximations and may not reflect actual trading conditions.

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information. By using the Platform, you consent to the data practices described therein.

14. Termination

• You may close your account at any time by contacting support.
• We may suspend or terminate your access without notice if you violate these Terms or engage in fraudulent activity.
• Upon termination, your right to use the Platform ceases immediately. Clauses relating to liability, indemnification, and intellectual property survive termination.

15. Modifications

We reserve the right to update these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

16. Governing Law & Dispute Resolution

• These Terms are governed by and construed in accordance with the laws of India.
• Any disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996.
• The courts of Chennai, Tamil Nadu, India shall have exclusive jurisdiction.
